Terms
1. Scope
These terms apply to all services offered on andreaslohr.com by Trainarea Ltd., 27 July Street 28, office 1, 9000 Varna, Bulgaria, VAT ID BG203549497, to businesses (“you”). Andreas Lohr delivers the services, so these terms say “I” and “me” for Trainarea Ltd.
The services are offered to businesses only. By booking, you confirm that you act for a business and that you are authorized to bind it. Your own terms never apply, even if I don’t object to them or start work after receiving them.
A contract is formed when your payment is completed. I may decline any order before I start work, in which case you get back everything you paid. If a separate written agreement exists, it takes precedence over these terms, and these terms take precedence over the offer pages. I may change these terms at any time. The version in force when you book applies to that order.
2. Services
The Next-Tab Leak Check is free and creates no obligation for me. Its result is an automated estimate from the numbers you enter, not advice, and is provided as is. I may change, suspend or discontinue it at any time.
The AI Feature Gap Report and the AI Feature Adoption Audit have the scope described on their pages at the time you book. Anything not described there is not included. I decide how to carry out the services, including which tasks, AI services, tools and methods I use. I may use subcontractors and service providers.
The Adoption Fix Sprint and the Next-Tab Advisor are agreed separately in writing. These terms apply to them wherever that agreement says nothing else.
3. Prices and payment
Prices are in US dollars and exclude VAT and other taxes, which you bear. For businesses in other EU countries with a valid VAT ID, the reverse-charge rule applies. You also bear your own bank, card and currency conversion fees. I may change prices at any time. A change doesn’t affect orders that are already paid.
The report and the audit are paid in full when you book, through Stripe. Other invoices are due within 14 days. If a payment is late, I may charge interest at the statutory rate for late payment in commercial transactions, plus the fixed compensation for recovery costs that the law provides, and I may pause all work until you have paid in full. Fees are non-refundable except as section 8 provides.
Discount and credit codes apply once, to the offer they were issued for. They have no cash value and can’t be combined. I may withdraw a code before it is used. Founding prices apply only while my records show free founding places.
4. Delivery
Delivery times are estimates in business days. For the report, they start when I have your complete materials. For the audit, they start when I have access to your product and we have agreed on the jobs to test. Delays caused by you, by third parties or by events outside my control extend them accordingly. A missed delivery date gives you no right to damages. If I am more than 15 business days late for reasons within my control, your only remedy is to cancel the order for a full refund.
Deliverables are sent by email or as a download link and count as delivered when sent. If you don’t provide the materials or access the service needs within 60 days of payment, I may close the order, and the fee is not refunded. If you miss a readout appointment without cancelling at least 24 hours in advance, I offer one new date; if you miss that too, the readout counts as held.
Please check deliverables when you receive them. Tell me in writing within 7 days of delivery about any factual errors, and I will correct them. Correction is your remedy for errors. If you raise none within 7 days, the deliverable counts as accepted. This doesn’t affect the guarantees in section 8.
5. Your part
You provide the materials, access and answers the service needs, on time, complete and accurate. You are responsible for their content. For logged-in access, you provide a dedicated test account and keep your own backups. I am not responsible for changes that result from using your product as a normal user would.
You confirm that you have all rights and consents needed to share the materials with me and to let me submit them to the services described in section 6. Please remove personal data about your users wherever possible. Where materials still contain personal data, you remain responsible for it as the controller. You indemnify me against third-party claims, and the costs of defending them, that arise from your materials or from how you use the deliverables.
6. Third-party AI services
To run benchmarks, I submit tasks and materials to third-party AI services such as ChatGPT, Claude and Gemini. By booking, you agree to this. I use their business offerings, whose terms exclude training on submitted data, but their own terms govern how they process data. I don’t control these services and am not responsible for them or their outputs. Benchmark results show the services as they behaved when I tested them, and those services change over time. If a task contains material that must not be submitted, tell me in writing before you send it, and I will leave it out or anonymize it.
7. No guaranteed outcomes
The services provide analysis, judgment and recommendations. I don’t promise any result, such as adoption, retention or revenue. Whether and how you implement recommendations is your decision and your responsibility. Beyond what these terms expressly state, I give no warranties, express or implied.
8. Cancellation, guarantees and refunds
You can cancel for a full refund until I start work. Work starts when I first open your materials or access, or begin testing. After that, the order can no longer be cancelled.
If the report isn’t useful to you, you can ask for a full refund within 14 days of delivery. If the audit doesn’t give you at least ten fixes you would ship, you can ask for a full refund within 14 days of the readout. Ask in writing through the contact form and say briefly why. Each guarantee applies once per business and doesn’t apply where the service fell short because you didn’t provide the materials or access it needed.
Refunds go back to the original payment method. A refund ends your right to use the deliverables. Any credit code issued with the refunded order becomes void, and if you have already used it, its value is deducted from the refund. A refund under a guarantee is your only remedy for the service in question.
9. Confidentiality
Each side keeps the other’s non-public information confidential during the service and for three years after it ends. This doesn’t apply to information that is public, was already known, was developed independently or must be disclosed by law. I may share information with my subcontractors, service providers and advisers where they need it, as long as they are bound by confidentiality.
I sign a reasonable NDA on request. An NDA governs confidentiality only. Everything else, including liability and rights to the work, stays as these terms provide.
I may use anonymized and aggregated data, findings and benchmark results that identify neither you nor your product for any purpose, including research and publications. I may name your company and show your logo as a client unless you tell me in writing not to. I never publish your findings without your permission.
10. Rights to the work
All rights in the deliverables stay with me. Once you have paid in full, you get a non-exclusive, perpetual, non-transferable right to use them for your own business, including sharing them with your employees, advisers and contractors who work on your product. Implementing the recommendations in your product is always allowed. You may not resell or publish the deliverables, or present them as your own research, without my written consent.
My methods, tools, templates, scoring frameworks, the Next-Tab Test and my general know-how remain mine. I may reuse general ideas, techniques and fixes for other clients, without your confidential information. I may use any feedback you give me freely.
11. Liability
I am not liable for damage caused by ordinary negligence. Where I am liable, my total liability for all claims connected with an order is limited to the fees you actually paid for that order, or, for ongoing services, to the fees paid in the three months before the claim arose. I am not liable for lost profit, revenue, data or goodwill, for business interruption, for indirect or consequential damage, for decisions you make on the basis of the deliverables, or for third-party services.
These limits don’t apply to damage caused intentionally or through gross negligence, or where the law doesn’t allow them. You must notify me in writing of any claim within three months of becoming aware of it.
12. Force majeure
I am not responsible for delays or failures caused by events outside my reasonable control, such as illness, outages of third-party services, internet or power failures, strikes, war or acts of government. My obligations are suspended for as long as such an event lasts.
13. General
I may transfer the contract to a successor or an affiliated company. You may transfer it only with my written consent. Notices and changes must be in writing; email and the contact form are enough. If a clause is invalid, the rest stays in force, and the invalid clause is replaced by a valid one that comes as close as possible to its purpose. Not enforcing a right doesn’t waive it.
14. Governing law
These terms are governed by the laws of the Republic of Bulgaria, excluding the UN Convention on Contracts for the International Sale of Goods. The courts of Varna, Bulgaria have exclusive jurisdiction. I may also bring claims at the courts where you have your seat. If these terms are translated, the English version prevails.
